By accessing or using any product or service provided by Devello Inc ("Devello," "we," "us," or "our"), including Devello Studios, Sygil, and Osmo AI (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Services.

These Terms apply to all users of:

• Devello Studios (devellostudios.com) — AI-powered creative tools platform
• Sygil — iOS education app available on the Apple App Store
• Osmo AI — iOS AI assistant available on the Apple App Store
• Devello Inc (develloinc.com) — software development and consulting services

Devello Studios

A web-based platform offering AI-powered creative tools including:

• AI image editing (lighting, general editing, assisted editing)
• Product photography tools (product shots, mood-to-mockup)
• Thumbnail generation and social media kit creation
• AI-powered product research lab

Sygil

An iOS education app that provides multi-lens learning through four perspectives: Science, Math, Human, and Contemplative. Features include debates, journaling, bookmarks, progress ranks, and a dedicated Kids Mode.

Osmo AI

An iOS AI assistant with 15+ skills for daily productivity including calendar management, email assistance, messaging, web search, reminders, notes, navigation, and more.

Certain features require an account. You may create an account using:

• Email and password
• Google Sign-In (OAuth)
• Apple Sign-In (iOS apps)

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for extended periods.

You agree to use the Services only for lawful purposes. You must not:

• Upload, process, or generate illegal, harmful, abusive, or inappropriate content
• Attempt to reverse-engineer, decompile, or compromise any part of the Services
• Use automated bots, scrapers, or scripts to access the Services without authorization
• Circumvent rate limits, usage quotas, or security measures
• Share your account credentials with others or create multiple accounts to abuse free tiers
• Use the Services to harass, defame, or harm others
• Impersonate another person or entity
• Violate any applicable laws or regulations

5.1 Your Content

You retain full ownership of content you upload to or create using our Services, including images, text, and other materials. By using the Services, you grant us a limited, non-exclusive, revocable license to process your content solely for the purpose of delivering the requested service (e.g., AI image processing).

You represent that you have all necessary rights and permissions to upload and process any content you submit.

5.2 Our Content

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Devello Inc and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without written permission.

5.3 AI-Generated Content

Content generated by our AI tools is provided as-is for creative and productivity purposes. You may use AI-generated output for personal and commercial purposes, subject to applicable laws. We do not guarantee the accuracy, originality, or fitness of AI-generated content for any specific purpose.

6.1 Pricing

• Devello Studios: free tier with limited uses; paid subscriptions and one-time credit bundles available
• Sygil: free tier; paid Premium subscription for unlimited lenses and advanced features
• Osmo AI: free tier with basic skills; paid Pro subscription for all skills and expanded usage
• Consulting and development services: fees are discussed after an initial conversation to understand the scope and intent of both parties — no fixed pricing is published

Subscription prices are subject to change with 30 days' notice to existing subscribers. Service fees for consulting and development are agreed upon individually per engagement.

6.2 Billing

• Web subscriptions are processed by Stripe and billed monthly in advance
• iOS subscriptions are processed by Apple through the App Store and governed by Apple's terms
• All fees are in US dollars unless otherwise stated

6.3 Cancellation and Refunds

• You may cancel your subscription at any time — access continues until the end of your billing period
• Web subscription refunds are handled on a case-by-case basis — contact us within 7 days of charge
• iOS subscription refunds are managed by Apple per their refund policy
• One-time credit bundle purchases are non-refundable once credits have been used
• Consulting and development service refunds are governed by individual service agreements

Devello Studios offers limited free access including guest sessions. Guest sessions are tracked via device fingerprinting for usage quota purposes only. Guest users have limited upload quotas and feature access. Creating an account removes guest limitations (subject to plan limits).

Our Services integrate with third-party providers:

• Google OAuth: for authentication — governed by Google's Terms of Service and Privacy Policy
• Apple Sign-In: for iOS authentication — governed by Apple's Terms
• Stripe: for payment processing — governed by Stripe's Terms
• Replicate / Google Gemini: for AI processing — your content is processed per their respective policies
• Supabase: for authentication and data storage

We are not responsible for the practices or policies of third-party services. We encourage you to review their terms and privacy policies.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We do not guarantee uninterrupted or error-free access
• AI-generated results may vary and are not guaranteed to meet specific requirements
• We may modify, suspend, or discontinue features at any time with reasonable notice
• Scheduled maintenance may cause temporary service interruptions

To the maximum extent permitted by law, Devello Inc and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Unauthorized access to your account or data
• Errors or inaccuracies in AI-generated content
• Any damages arising from your use of third-party services

Our total liability for any claim arising from the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless Devello Inc from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or generate using the Services

We may suspend or terminate your access to the Services at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or third parties.

Upon termination:

• Your right to use the Services ceases immediately
• We may delete your account data after a reasonable retention period
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect

Any disputes arising from these Terms or the Services will be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of California, United States.

You agree to resolve disputes on an individual basis and waive any right to participate in class-action lawsuits or class-wide arbitration.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
