Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services operated by Devello Inc ("Devello," "we," "us," or "our"), including:

• Devello Studios (devellostudios.com)
• Sygil — iOS thinking tool
• Osmo AI — iOS personal AI assistant
• Sivra / Research Engine — iOS app (App Store) and web application (sivra.app)
• Devello Inc (develloinc.com) — consulting and interiors practice

By downloading, installing, or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

Sygil and Osmo AI are distributed through the Apple App Store. Your license to use these applications is governed by Apple's standard Licensed Application End User License Agreement (the "Apple EULA"), supplemented by these Terms. In the event of conflict between the Apple EULA and these Terms, the more restrictive provision applies to the iOS applications.

The following provisions apply specifically to iOS applications downloaded from the App Store:

• Acknowledgement: These Terms are between you and Devello only, and not with Apple. Apple is not responsible for the applications or their content.
• Scope of License: The license is limited to a non-transferable license to use the applications on any Apple-branded device you own or control, as permitted by the Usage Rules of the App Store Terms of Service.
• Maintenance and Support: Devello is solely responsible for providing any maintenance and support services for the applications. Apple has no obligation to provide maintenance or support.
• Warranty: Devello is solely responsible for any product warranties, express or implied by law, that are not effectively disclaimed. If the applications fail to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; to the maximum extent permitted by law, Apple will have no other warranty obligation.
• Product Claims: Devello, not Apple, is responsible for addressing any claims relating to the applications or your use of them, including product liability, legal or regulatory compliance, and consumer protection claims.
• Intellectual Property Rights: In the event of any third-party claim that the application or your use of it infringes that third party's intellectual property rights, Devello, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal Compliance: You represent that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

You must be at least 13 years old to use the Services. Certain features (e.g., Osmo integrations with email and calendar, paid subscriptions) require you to be the age of majority in your jurisdiction. Sygil's Kids Mode is designed for children aged 8–12 with parental guidance and complies with the U.S. Children's Online Privacy Protection Act (COPPA).

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to:

• use the Services for any unlawful purpose or in violation of any applicable law
• upload or generate content that is defamatory, harassing, hateful, sexually explicit involving minors, or that infringes the rights of others
• reverse engineer, decompile, or disassemble the Services except to the extent permitted by applicable law
• probe, scan, or test the vulnerability of the Services; attempt to bypass any security mechanism; or disrupt service to any user
• use the Services to build a competing product, train a competing AI model, or resell AI outputs at scale without permission
• scrape, crawl, or use automated means to access the Services beyond reasonable limits

iOS subscriptions (Sygil Premium, Osmo Pro) are processed through Apple In-App Purchase. Payment is charged to your Apple ID at confirmation of purchase. Subscriptions auto-renew unless canceled at least 24 hours before the end of the current period. Manage or cancel your subscription in Settings → Apple ID → Subscriptions.

Web subscriptions (Sivra Research Engine plans) are processed through Stripe. You may manage or cancel your plan from your Sivra dashboard. Cancellations take effect at the end of the current billing period.

Free trials and promotions automatically convert to paid subscriptions at the end of the trial period unless canceled in advance. Prices may change; we will notify you before any change takes effect.

Refunds for App Store purchases are handled by Apple. Requests should be submitted through reportaproblem.apple.com. Refunds for web purchases are at our discretion; contact sales@develloinc.com.

The Services use large language models and generative AI (including models from Anthropic and Google) to produce answers, summaries, voice responses, research syntheses, and images.

• AI output may be inaccurate, incomplete, or inappropriate for your specific use case. You are responsible for evaluating output before relying on it, especially for medical, legal, financial, or safety-critical decisions.
• You retain the rights you have in your input content. Subject to these Terms, we grant you the right to use the output for your personal or internal business use.
• Do not submit confidential or regulated data (e.g., PHI under HIPAA, card data under PCI-DSS) unless an appropriate agreement is in place.
• We do not allow AI providers to train their models on your content.

You retain ownership of content you submit. By submitting content, you grant Devello a worldwide, non-exclusive, royalty-free license to host, process, and display that content solely to operate and improve the Services for you. This license ends when you delete your content or account, except for backups reasonably retained for recovery and compliance.

The Services, including all software, interfaces, branding, typography, and particle systems, are owned by Devello Inc or its licensors and are protected by copyright, trademark, and other intellectual property laws. "Devello," "Devello Studios," "Sygil," "Osmo," and "Sivra" are trademarks of Devello Inc.

The Services interoperate with third-party services such as the Apple App Store, Google Calendar, Gmail, and external websites. Your use of those services is governed by their respective terms. Devello is not responsible for the availability, content, or practices of third-party services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELLO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.

You agree to defend, indemnify, and hold harmless Devello, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your content, or your violation of these Terms.

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to the Services or other users. You may stop using the Services at any time and delete your account from within the app or by contacting sales@develloinc.com. Sections that by their nature should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification) will survive.

We may update these Terms from time to time. Material changes will be announced in-product or by email. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or equitable relief.

You agree to comply with all applicable export control and sanctions laws. You may not use the Services if you are located in a country subject to U.S. embargo or if you are on any U.S. Government list of prohibited or restricted parties.

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and, for iOS applications, the Apple EULA, constitute the entire agreement between you and Devello and supersede all prior agreements regarding the Services.
